Result of EGM
On 9 December 2005, Prime People plc announced the acquisition of Macdonald, a leading independent professional recruitment consultancy focused on the commercial property sector.
At the Extraordinary General Meeting of Prime People, which took place earlier today, all resolutions put to shareholders to effect the Acquisition were duly passed. Among the resolutions was the proposal to simplify the Company’s capital structure by the consolidation of every 10 issued Ordinary Shares into one New Ordinary Share. Resolution 8 was not put to the meeting and Robert Macdonald, Peter Moore and John Lewis have been appointed as directors by the Board of Directors of the Company with effect from Admission of the New Ordinary Shares.
As a result of the passing of the resolutions, the shareholders of Macdonald and the holders of Macdonald Share Options have become entitled to 7,155,593 New Ordinary Shares, representing 66.01 per cent. of the Enlarged Share Capital.
It is expected that Admission of the New Ordinary Shares will become effective and that dealings in the Enlarged Share Capital will commence on AIM on 4 January 2006.
